Guest delorn Posted February 8, 2011 at 09:15 PM Report Share Posted February 8, 2011 at 09:15 PM We have a small organization. We have a set of bylaws. According to the bylaws our meetings and other business is to be run by the bylaws and RR. By our bylaws the leader only has power to lead the meeting and other duties directed him/her by the BOD. We have a new leader as of the first of the year, who does not feel he needs to follow the bylaws, and has been reeking havoc in the organization since coming to office. By the bylaws he can be removed from office by a majority vote of the BOD but how do you get the item on the agenda or bring it up at a meeting that he is directing??? It's that easy.

See FAQ #14 regarding the agenda. Also, see Official Interpretation 2006-2 and this script about how to Suspend the Rules to allow someone else to preside at the Board meeting. Josh Martin Posted February 8, 2011 at 10:22 PM Report Share Posted February 8, 2011 at 10:22 PM By the bylaws he can be removed from office by a majority vote of the BODOnly if your Bylaws say you can. See FAQ #20 otherwise. The board may remove the chair from presiding for that meeting by a 2/3 vote.but how do you get the item on the agenda or bring it up at a meeting that he is directing???Well, you could amend the agenda while the motion is pending, or you could just make the motion in New Business. The script Chris H. linked to has some tricks if the chair decides to play hardball.
