Guest spookemook Posted February 13, 2011 at 06:04 PM Report Share Posted February 13, 2011 at 06:04 PM Our organization's president recently passed away, in our by-laws it states that the VP will take over for the President if he cannot do his job for nay reason. My question is how should we go about replacing our VP? This is not addressed in our by-laws. Should we hold a special election to elect a new VP or should the remaining officers appoint a new VP for the remainder of the term. We have searched for the answers “Robert’s Rules of Order Newly Revised" but this is an issue that was not addressed as far as we could tell. Any help is greatly appreciated. Robert B Fish Posted February 13, 2011 at 06:10 PM Report Share Posted February 13, 2011 at 06:10 PM Unless your bylaws specifically say otherwise, when the office of president becomes vacant the vice-president BECOMES president. Unless your bylaws say otherwise, when any of the other offices become vacant, they are filled by a special election for the unexpired term. jstackpo Posted February 13, 2011 at 06:12 PM Report Share Posted February 13, 2011 at 06:12 PM From what you say, a special election is called for.Take another look ar RONR: p. 557, lines 15-19 are what you were looking for (although the "hold an election" requirement is stated rather obliquely there - and nowhere else).
