Guest Confused Posted March 3, 2011 at 11:30 PM Report Share Posted March 3, 2011 at 11:30 PM A member of our Executive Committee (the Vice President of the Board) has resigned. Election of officers takes place in June. Is it the responsibility of the remaining officers (President, Secretary, and Executive Secretary) to name a new VP or does this go back before the Board for nominations/vote? Our Constitution does not address this issue but does refer to current Roberts Rules of Order for issues not addressed. Thank you.

Thank you.If your bylaws are silent, then elected offices suddenly vacated are filled by a special election, by the same body which normally elects to that position. Nothing unusual about it, except that it doesn't occur at the usual time of elections. That, and the fact that previous notice to all members of that body is required for special elections.
