Chairman unexpectedly dies

The Chairman of our 5-member Board died suddenly. At the next meeting the Vice Chairman ran the meeting. Election of Officers is held every November. This change occurred in March. Does the Vice Chairman become the Chairman or remain Vice Chairman for the purpose of signing the adopted minutes, resolutions, etc? The vacant seat on the Board is to be filled by appointment by the remaining Board Members. Does a new election of officers take place when an appointment is made (within 60 days, as suggested by the by-laws) or does the Vice Chairman continue until November?

Unless the bylaws say otherwise the Vice Chair becomes the Chair and the vacancy to be filled would be in the office of Vice Chair (RONR p. 442).

At the next meeting the Vice Chairman ran the meeting.

The vice-chairman normally becomes chairman, but check your bylaws for specific deviations from this for that position in particular.

The vacant seat on the Board is to be filled by appointment by the remaining Board Members. Does a new election of officers take place when an appointment is made (within 60 days, as suggested by the by-laws) or does the Vice Chairman continue until November?

Follow your bylaw provisions for filling the vacancy in the vice-chair spot (or chair, if your rules so dictate). If you have no such provision, the body that elects can hold an election to fill the vacancy, provided notice has been given.
