J. J. Posted March 22, 2011 at 11:56 AM Report Share Posted March 22, 2011 at 11:56 AM I would expect such a rule might be difficult to enforce, unless the board has the power to remove a director.
Tim Wynn Posted March 22, 2011 at 04:19 PM Report Share Posted March 22, 2011 at 04:19 PM My question is does this bylaw violate any Rules? The bylaws take precedence over RONR, so there's no fear of violating any of the rules in RONR. States often have procedural rules for corporations. Check with an attorney to see if any applicable laws are being violated.
