When you say, "Elected members voted," are you talking about the Executive Board? Generally, a board cannot undo what the assembly of the society has done. A single person simultaneously holding two officer positions (VP and Tr.).If you have no rule saying otherwise, you can do #a and you can do #b.Q. Do you have a rule in place saying otherwise? Guest Pat Sparling Posted May 5, 2011 at 02:48 PM Report Share Posted May 5, 2011 at 02:48 PM Is the Past President of an Organization normally classified as one of the Officers? And if you want him/her to be an Officer, do you just put that into your Bylaws.

That way, the answers don't get all jumbled up.Thanks!
Josh Martin Posted May 5, 2011 at 04:29 PM Report Share Posted May 5, 2011 at 04:29 PM After recent HOA annual meeting. Elected members voted to delegate re-elected treasurers duties to the Vice President...VP & Treasurer.Re-elected person is now...just another vote with no other duties. Can a Vice President also be Treasurer? The Vice President may also be Treasurer, but the board may not reassign the duties of the Treasurer to the Vice President. In order to have the Vice President be Treasurer, he needs to actually be elected to that position. In my opinion, the motion is null and void as it conflicts with the Bylaws (which define the Treasurer's duties) and with the actions of the general membership (which elected the Treasurer). Is the Past President of an Organization normally classified as one of the Officers? No.And if you want him/her to be an Officer, do you just put that into your Bylaws.Well, the officers are defined in the Bylaws, but before you go off to amend them, I would reconsider whether you really want the Immediate Past President to be an officer (most members of this forum would not recommend it), and if you really do, you may wish to provide further clarification defining how a member acquires the office, the term of office, and such other considerations. If your society just rushes into this without thinking about it, someone will come back here in a few years asking us what happens if the President is re-elected, or resigns, or dies, or is removed from office for embezzlement, or whatever other odd situation you didn't think of when making the IPP an officer. Nothing in RONR prevents one person from holding more than one office (e.g. vice-president and treasurer).
