Can an executive committee member ask another board member to sit in on exec meeting and have proxy?

Recently, an ex officio member (with voting privileges per our bylaws) of our organization's executive committee requested that another board member attend the exec meeting in his stead and vote his proxy (also permitted by bylaws). My question is can any member of an executive committee request someone else from the board to fill in in his/her stead and vote by proxy if the person cannot attend a meeting? Our bylaws state that proxy vote can be used for meetings but does not specify whether proxy goes beyond board to committee meetings. What is your suggestion to clarify this issue? Thank you

Here are four suggestions:

1. Remove the bylaw provision that authorizes the use of poxy voting.

2. Remove the bylaw provision that authorizes the use of poxy voting.

3. Remove the bylaw provision that authorizes the use of poxy voting.

4. Adopt extensive rules governing the use of proxies.

I'm not too keen on the fourth one, but I think any of the others would be fine.B)
