By-Law amendments/changes

Our annual meeting is scheduled for next week. There are 5 bylaw amendments or changes being presented. The majority (2/3 majority) of the membership do not want these by-laws passed at this time. They were written by our President who will voted out by a 2/3 majority next week. Do we make a motion to table the entire by-law changes? Do we have to make this motion per each by-law amendment/change? Is "lay on the table" the correct motion to make?

Assistance to how to do this plus correct language would be greatly appreciated.

so you're saying that the chair will make a motion to amend the bylaws before he begins to discribe in detail the changes? This would work perfectly!

Well, first unless there are about a dozen members or less present the Chair should not be getting involved in debate (RONR p. 1 and p. 382). Second, although debate should wait until a motion is made whoever makes the motion (the Chair?) gets first crack at debating the motion (RONR p. 367). So there is no way to prevent the motion maker from speaking on the motion even if no one else wants to deal with it. However, after he is done speaking someone can move the Previous Question (RONR pp. 189-201) and if 2/3 are in favor of it the motion can be voted on with no further debate or amendment.

No, Lay on the Table is almost never the right motion to make. See FAQ #12 & 13.

But you don't really need to make any motion to defeat the changes. Just vote No.

If you want to cut off debate, and you have 2/3 support, you can move the Previous Question on each motion.

Something else to consider: you say the membership doesn't want to pass these bylaw amendments "at this time." It may be (and you'd need to read your bylaws to be sure) that amendments can only be considered at the annual meeting. That means that if you vote them down this year, you may have to wait another year to consider them again, and whether that is advisable or desirable is a decision your membership will need to make.

As an alternative, you might consider moving to Amend the proposed amendments in a fashion that makes them agreeable to adopt at this annual meeting, and if such Amendments are defeated, you can still vote down the proposed bylaw amendment as well anyway.
