Election of officers without quorum

Just wanted to know if my organization has a national conference and we need 66 percent of the body to meet quorum and that doesn't happen.....what is the next step if our bylaws doesn't cover how to handle elections going forward when we don't have any special election provisions. Do the incumbents stay in office by default?

If there is no quorum you cannot conduct business (such as having elections) and you should set up an Adjourned Meeting to hold the elections. As for whether the officers stay in office RONR pp. 556-557 says:

To ensure the continued services of officers in the event, for example, of public emergency or of difficulty in obtaining a nominee for an office, it is well to provide that officers "shall hold office for a term of . . . year(s) or [or "and"*] until their successors are elected." The unqualified wording "for a term of . . . year(s)" should be avoided, because at the end of that time there would be no officers if new ones had not been elected.

...so the answer depends on what your bylaws say.

Thankyou very much. Our organization has an upcoming election and our bylaws only allow officers to serve for two years. Well the two years are up, and unfortunately we can see that it will not be a quorum, and we have no provisions on what to do from their because we never ran into this situation before. Was trying to find how ROROO handles such a situation.
