However no assurance was made at that time that qualified voters in attendence earlier had not left the meeting thereby afecting the quorom count. Chris Harrison Posted June 2, 2011 at 04:07 AM Report Share Posted June 2, 2011 at 04:07 AM Proxy voting is not permitted unless the bylaws specifically provide for it and if they do you will need to look to them to determine how they would affect the quorum (RONR pp. 408-409). If there is "clear and convincing" proof that a quorum didn't exist when a vote was taken it would be null and void (and RONR doesn't say what constitutes "clear and convincing" proof) [RONR p. 244(e), p. 338].
