With regard to special meetings, our bylaws state that "General meetings for a special purpose may be called by the President upon written request of at least twelve members – the purpose of the meeting to be stated in the call, and no other business transacted." There is no language that states special meetings must be within the general memebership calendar--- So if the president calls a meeting in July, she would need to distribute a copy of the proposed amendments 30 days prior to the special meeting so there can be a vote? right? Do your bylaws require 30 days' notice for bylaws amendments? You need to strictly follow the procedure in your bylaws for amending your bylaws, so if that's what they say, that's what you must do. And it would probably be the Secretary who distributed the call of the meeting, including an exact description of the business to be transacted.
