If an organization's by-laws state that 12 Board Members are to be elected each year by the general membership and there are not 12 interested individuals wanting to assume the responsibility, what steps can be taken to allow those interested still act as the Board of Directors. The membership wants the number of '12' to remain as protection from becoming a self-serving board. But if not 12 individuals are interested in serving, what would be an appropriate action for the membership to approve that would not require an amendment change to their Constitution and By-Laws.

The Board has a Secretary, Treasurer and House Manager that do run the day to day operations very efficiently.

If the constitution states that you must have 12 members on the Board, then you must elect 12 members, or amend the constitution.

The only appropriate action I can think of for a membership which does not want to amend the constitution, yet does not want to obey it, is to disband the organization. When faced with that choice, one of two things will happen. People will step forward and do their duty, or an organization which was dying anyway will cease to exist.

The membership should try to get as close to 12 as possible and then postpone the remainder of the elections (preferably to an adjourned meeting, but they may be postponed to the next regular meeting if this is not possible).
