Guest Ron Posted August 17, 2011 at 06:55 PM Report Share Posted August 17, 2011 at 06:55 PM The President of our Homeowners Association asked for volunteers from the board of directors to be on a Special Committee to propose amendments to the Bylaws. Four directors volunteered. If a committee meeting was held by 3 of the 4 and the 4th person was inadvertantly not invited (or even not invited on purpose) does that make the results of the meeting invalid if the person who did not get invited protests and claims that it is invalid? Can the members of the committee chose not to invite one of the volunteers if they prefer to do so?Thank you.
jstackpo Posted August 17, 2011 at 08:53 PM Report Share Posted August 17, 2011 at 08:53 PM Invalid? Yes."Choose not to invite"? No.I am presuming that, although the 4 were "volunteers", they were formally appointed to the "Bylaws Committee" by whoever (or whatever body) is authorized in your bylaws, or by RONR - see pp. 471 ff., to make such appointments. If no such appointments were made -- they should be in the minutes if they were -- then all bets are off as RONR doesn't really recognize informal gettogethers as covered by its rules. Tim Wynn Posted August 19, 2011 at 04:08 PM Report Share Posted August 19, 2011 at 04:08 PM If a committee meeting was held by 3 of the 4 and the 4th person was inadvertantly not invited (or even not invited on purpose) does that make the results of the meeting invalid if the person who did not get invited protests and claims that it is invalid? Each member of a committee has the right to attend its meetings and cannot be properly prevented from attending. The "results" would not be the act of the committee; they would be the act of three committee members who met outside of a meeting. When a real meeting is called, they can share their thoughts with the committee. Can the members of the committee chose not to invite one of the volunteers if they prefer to do so?Thank you. They cannot exclude him.
