When is resignation effective?

The current President of our organization sent me an email asking for my resignation from the board. I replied by email, that if differences can't be resolved, I will offer to resign. I received the following email reply: "The Board of Directors has decided to accept your offer to resign from the Board of Directors of the (XXX) Club effective immediately."

I did not attend a board meeting where this was decided, nor given notice for a board meeting.

What is my status now?

What is my status now?

A resignation is a Request to be Excused from a Duty. See RONR (10th ed.), Section 32. If you have not made such a request, it cannot be adopted. Also, it is unclear who would have the authority to accept such a resignation. Generally, the body that elects a person would be responsible for acting upon the resignation, unless stated otherwise in the bylaws.

If your resignation has not been given and accepted, your status is unchanged in this regard.

What is my status now?

You are still a board member, since you have not (as far as I can tell) actually submitted your resignation yet. Furthermore, since you remain a member until the resignation is accepted, if they met without notifying you, any business conducted is null and void.

Generally, the body that elects a person would be responsible for acting upon the resignation, unless stated otherwise in the bylaws.

I believe the body authorized to fill the vacancy could also accept the resignation.
