Guest Lisa Posted August 24, 2011 at 08:33 PM Report Share Posted August 24, 2011 at 08:33 PM The Board plans to remove the President at the next meeting. None of the remaining Board Members want to serve as President. Can the President be elected from the membership? Also, what if there is a bylaw that states the President has to be on the Board for 2 years consecutively before being President? How would that work, or can it?Thanks for your help? Check your bylaws carefully.

Josh Martin Posted August 25, 2011 at 12:34 AM Report Share Posted August 25, 2011 at 12:34 AM The Board plans to remove the President at the next meeting.Do the Bylaws grant the board the authority to do this?None of the remaining Board Members want to serve as President. The Vice President (if you have one) will have to resign from President, then, as he automatically becomes President when there is a vacancy. Can the President be elected from the membership? So far as RONR is concerned, sure (although your Bylaws seem to have a different answer). Also, what if there is a bylaw that states the President has to be on the Board for 2 years consecutively before being President? How would that work, or can it?Well, only your organization can interpret its own Bylaws (see RONR, 10th ed., pgs. 570-573 for some Principles of Interpretation), but it looks at first glance like you might not have a President for a while, if no one who is eligible is willing to serve. You might want to consider amending the Bylaws.
