Ratify a Vote

Wouldn't this be subject to the organizations bylaws?

Our club's bylaws require all Board decisions be ratified by the general membership. This was a rule added to our bylaws two years ago. Before that the BOD could make a lot of decisions that were not subject to approval by the membership. Finding this to become a problem we amended our bylaws.

If a Board votes "no" on an action item during an emergency board meeting, does the vote need to be ratified at a regularly scheduled meeting? In other words, was action taken at the emergency board meeting that needs to be ratified?

Do your bylaws specifically provide for Emergency Board meetings and you followed all the requirements for calling one? If so, then the meeting was valid and so was the actions taken (assuming that taking that action didn't violate some other rule). If not and the Board would have had the authority to take those actions at a regularly called meeting then they can be ratified (but would be null and void until they are ratified). If the Board doesn't have the authority to take those actions in the first place then the actions are null and void and cannot be ratified.

Since the Board defeated the proposed motion, there is nothing to ratify since no action was approved.

Since the motion was defeated, it can be introduced again at a subsequent meeting (technically:session).

That is a strange case for your club and leaves you with a Board that's essentially powerless. Why even have a board meeting if all the matters will be brought up again before the membership?

Such an arrangement will also make a situation that calls for frequent membership meetings when urgent action is required, such as making repairs to property, making a small but urgently needed expenditure, etc.

Nonetheless, your organization is free to adopt the bylaws it feels will best serve your organization.
