Guest Jennifer_CHP Posted September 8, 2011 at 07:45 PM Report Share Posted September 8, 2011 at 07:45 PM Last month the Board approved a motion (to sign one lease and terminate another). The details related to that motion have changed (now the org will not be signing the lease and will instead stay with the one that would have terminated). At the next meeting when the minutes containing the motion are approved, how it is appropriately handled? If your response is that there should be an entirely new motion, the minutes should be approved as presented? Thank you.
George Mervosh Posted September 8, 2011 at 07:49 PM Report Share Posted September 8, 2011 at 07:49 PM You don't rewrite history....approve what you did.Move to amend what you adopted if that's what's desired. RONR, p. 293ff

The minutes are a reflection of what was done at that meeting and the motion was adopted so the minutes should not be changed regarding the Board's change of mind. The proper motion to handle this situation would be to Rescind or Amend Something Previously Adopted depending on whether the lease would have automatically renewed for a further length of time if no action had been taken by the Board.
