Need in put on by-Laws

I live in a residential complex were the residents have a club, to establish and maintian activities for the residents. Recently our housing authority has told us our by-laws are too vaige. I posted the section in question below.

1. The chairman of the activities committee must seek approval of the officers before any program or activity is entered into.
   
2. In respect to any catering of committee served event, excess food may be offered to the committee members and volunteers who helped during the event.
   
3. Expense of the Club dinners may be shared by the tenants.
   
4. Private card playing or similar activities not permitted during the entertainment.

Is the club part of the residential complex -- is it a subsidiary of the complex? If not, the housing authority have no right to tell you anything. Even if so, they may not have the authority to tell you anything. You need to look at what is the relationship of the two.

Pages 570-573 of RONR (10th Edition) offer guidelines for bylaw interpretation, which is beyond the scope of this forum. Assuming the housing authority has anything to say about it (as Mr. Cisar has noted), it might be best to ask them what they think is vague about your bylaws. If you do feel it appropriate to amend your bylaws, the assistance of a parliamentarian in your area may be helpful as well.

Yes we are a residential complex. The Housing authority owens the building, but the club and its members run the kitchen, and all residential activities.

You should speak to the squeaky wheel about what it wants. No one here will be able to guess what's on the mind of the person who called your document vague.
