Guest Beth Lee Spinner Posted October 6, 2011 at 09:20 PM Report Share Posted October 6, 2011 at 09:20 PM The Bylaws of our organization include the following:Under Duties of Officers, President - "...serve on all other committees in a non-voting ex-officio status; and shall appoint all committee members,..."Under Committees, Standing Committees - "All standing committees shall be chaired by a member of the Board of Directors. The President shall appoint all committees and shall be an ex-officio, non-voting member of all committees."With these listings in the Bylaws, and the RONR explanation of "ex-officio", can the President appoint herself a Chair of one of the Standing Committees? jstackpo Posted October 6, 2011 at 09:53 PM Report Share Posted October 6, 2011 at 09:53 PM Nothing in what you quoted gives the president that authority. She appoints members but it is then up to the members (absent other unquoted bylaw provisions) to select their own chair, subject to the "Board of Directors" membership limitation. Chris Harrison Posted October 6, 2011 at 09:54 PM Report Share Posted October 6, 2011 at 09:54 PM That is a question of bylaw interpretation which is beyond the scope of this forum. See RONR pp. 588-591 for some principles to help you all interpret those bylaws.
