Succession - does the VP automatically become Pres?

Please discuss succession of officers- is there a citation for this or is it a by-law specification. What if there is no reference in the organization's by-laws?

See RONR (11th ed.), p. 458, ll. 7-13, & p. 575, ll. 9-17.

These referenced passages basically say that the VP automatically becomes the president in the case of vacancy in the office of president, unless the bylaws specifically say otherwise for that office in particular.

If the bylaws are silent, then the vice president automatically and immediately becomes president upon a vacancy in that office.

This is true even if the bylaws have some general statement such as "vacancies in any office shall be filled by the board of directors." The presumption is that because of the succession rule a vacancy in the office of president would not normally occur, and it would instead be the vacancy in the vice presidency that would need to be filled.

If it is desired that the office of president not be automatically filled, it is necessary for the bylaws to have a rule that names the office of president explicitly, and the desired method of filling that vacancy.

Other than the VP-to-President rule, there are no other default succession rules in RONR.
