Changing By-Laws

We currently had to change/update our by-laws, and some who are set in their ways are fighting it. The board of directors made the first set of changes, and now going to read it to the body for their changes and approvel. Some are saying only the body can make changes, and that is has to be read three times before the changes are finel. Is there a chapter in RONR to clearify this?

Take a look at chapter 57 (RONR 11th Edition). You might also read through Chapter 56 as well.

Your bylaws should include a section that covers the details of how they can be amended. If not, pay particular attention to page 581.

The board of directors typically does not have the power to change the bylaws but there's no prohibition against the board offering suggestions to the membership, which it is free to debate, change, reject, or pass as is.

The rules on how the bylaws may be amended should be contained in the bylaws themselves. It is unlikely that those rules include reading three times, and certainly no rule in RONR would require that. But it is important to follow carefully what they do say.

While boards have the obligation to "run the business" of the organization, the members ARE the organization. The board's function in an amendment process is to convey to the Committee any communication they may have received from the members or any problems that need addressing. The board does not decide the amendments, only the members can do that.
