Voting Privileges

Our club's bylaws state under membership privileges - "Each eligible member in good standing is entitled to vote on each voting subject."

Youth members under age 18 are not allowed to vote, other than that we have no membership classes. Our bylaws are structured so that only current Board members can vote for officers and it is possible for some members to have no way to vote for directors to sit on the Board.

My questions:

1. Are elections considered "voting subjects" ?

2. If so, aren't our bylaws in conflict with each other?

It's up to your organization to determine the meaning of its bylaws. A proper opinion on the meaning can only come from a complete reading of the bylaws, which is beyond the scope of this forum.

See RONR (11th ed.), p. 588 ff. for some principles of interpretation to help you with your task.
