We have a ballot and received today from the management company of two additional names that were received via mail for proxy votes. There are two positions open but only one person is on the ballot. Does this cause confusion to the people that sent in their votes by proxy since they will not be attending the meeting? This is causing a lot of confusion. This is causing a lot of confusion.Your rules should be in your bylaws or equivalent. A new ballot would have to be a totally new balloting including established deadlines for sending and receiving. However, each much be authorized by the bylaws or higher governing documents to be in order. RONR advises that an organization should not adopt a bylaw provision whereby votes cast by members attending a meeting are counted together with votes mailed in by absentees. This case is prime example of why - issues might come up at a meeting which would have changed the absent member's decision. In this case new candidates to choose from.
