Guest Annette Posted February 6, 2012 at 02:16 AM Report Share Posted February 6, 2012 at 02:16 AM Can a committee take action independently of the approval of the board? Specifically, can a nominating committee select nominees for a ballot and proceed without full boad approval?
Trina Posted February 6, 2012 at 03:35 AM Report Share Posted February 6, 2012 at 03:35 AM The nominating committee is not normally a committee of the board, so, in this instance at least, the committee would actually be expected to proceed without approval (or interference) from the board.Do you have a reason to think that this particular nominating committee should be reporting to the board? Trina Posted February 6, 2012 at 11:56 AM Report Share Posted February 6, 2012 at 11:56 AM because the board appointed the committee and tasked them with recommending nominees....Is the nominating committee selecting nominees for an election to be conducted by the general membership? If so, even if the committee is to be chosen by the board (which is necessary in many organizations, if the general membership meets infrequently), the nominating committee's report is presented to the voting body (see RONR 11th ed. p. 434 for the particulars). Is the formation of the nominating committee described in your bylaws, and is there anything there suggesting that the board's role goes any further than appointing the members to such a committee? Rev Ed Posted February 6, 2012 at 05:15 PM Report Share Posted February 6, 2012 at 05:15 PM And finding nominees is the purpose of the Nominating Committee. As such, the Nominating Committee does not ask the Board "Is it okay to nominate Joe?" But rather the Committee reports to the group who elects the Board that they recommend Joe for position __.
