Our bylaws state that they can only call for special meetings by phone or mail. It seems to me that they can do anything they want to this way because it is hidden and our members know nothing about what is going on until our regularly scheduled monthly meeting. If some things are allowed, and therefore other things are prohibited, then yes, you don't want to allow people to do prohibited things. We don't interpret bylaws on this forum, but the Principles of Bylaws Interpretation are located on p. 588-591 of Robert's (RONR/11).Good Luck. They have managed to pass many motions this way that a majority of our members do not agree with.The board can exercise whatever power it has been authorized to take. There is no requirement to run every decision by the general membership. That would defeat the point of creating a board and authorizing it to take action between meetings of the general membership.
