What authority allows the president to choose a committee?

Our new president has appointed a committee to advise her on by-law amendments that were passed by 2/3 of mail-in ballots (181 ballots, 7 uncountable, 14 voted no, 160 voted yes). Unfortunantely, our by-laws do not specify who can or cannot appoint a committee. I've research Robert's Rules of Order 10th edition and can only find the president can act on an approved motion and appoint a committee.

At our general business meeting, no motion was brought up. The first time the membership and board heard of this committee was at the president's acceptance speech. The fourteen dissenting voters are the members of this appointed committee.

The board of directors were not informed nor asked for their approval. This new president has spent several hundred dollars reprinting, re-mailing these approved by-laws without the board’s approval. Should she and her committee pay for these expenses? The majority vote states she should, since by-laws were approved.

Well, you found it. Barring any customized rules on the subject, the President can only appoint committees if so authorized by the membership.

Should she and her committee pay for these expenses?

Yes, unless your Bylaws grant the President to spend money on her own authority.

The president can consult with whonever she wants. The president could only appoint a formal committee if authorized by the assembly or the bylaws (p. 495 ff.).

It is advisable to send out bylaws to all members (pp. 14-15).
