Agenda

Until the meeting is called to order, not Agenda needs to be presented. For some organizations I belong to, it is easier to send out a draft Agenda out and ask Board members for additions or corrections (like with the Minutes, this sepeeds up the meetings a bit as most of the corrections are already dealt with and their adoption are more of a formality than anything else. However, it is not required that the Agenda be sent out in advance.

However, if the President resuses to accept any addtions or corrections to the Agenda, ask him where he thinks he gets the authority to set the Agenda.

Thank you. We have a new board and a new presidenet that believes that the president doesn't need to provide an agenda to the board prior to the board meeting.

And, unless there is a rule requiring advance preparation and distribution of an agenda (a rule in your own bylaws, or in some applicable statute), the president is right.

I'm not sure from your question whether the board is running its meetings with no agenda (no rule against that), or if the president shows up at the meeting with agenda in hand and tells the board that they have to stick to the agenda (improper).
