Josh Martin Posted February 21, 2012 at 12:28 AM Report Share Posted February 21, 2012 at 12:28 AM If the president of a board resigns and the vice president take over the duties of the resigned officer, can the vice president vote on issues that come before the board?If the President resigns, then the VP doesn't simply take over his duties, he actually becomes the President (no "Acting" about it) unless your Bylaws expressly provide otherwise (RONR, 11th ed., pg. 458, lines 8-13).
