Guest Robert McSorley Posted March 7, 2012 at 10:52 PM Report Share Posted March 7, 2012 at 10:52 PM We had a group with 18 members, but only 13 could reasonably be expected to attend on a regular basis. At a meeting (with quorum), we voted to establish the new quorum as 7 (we set it as a specific number). New members have since been added by a supervising authority, and now more than 13 members could reasonably be expected to attend. Is the motion to change the quorum now invalid because it is based on a situation that no longer exists? (I don't believe it was a change to the bylaws, though perhaps it should have been considered as such.) If so, is the regular majority of membership standard for quorum now in effect, or are we required to revisit the issue of quorum? Thank you for your assistance. Rev Ed Posted March 7, 2012 at 11:17 PM Report Share Posted March 7, 2012 at 11:17 PM No it still stands. The group would be free to pass a motion to "Amend Something Previously Adopted" in order to change quorum to anyother number, preferably a percentage, or a majority of members. David A Foulkes Posted March 7, 2012 at 11:34 PM Report Share Posted March 7, 2012 at 11:34 PM (I don't believe it was a change to the bylaws, though perhaps it should have been considered as such.)Do your bylaws contain a section that defines what the quorum is? If so, the only way to change it would be to amend the bylaws.
Chris Harrison Posted March 7, 2012 at 11:36 PM Report Share Posted March 7, 2012 at 11:36 PM Do the bylaws specify what the quorum is or do they say that some body (the General Membership or Board) has the authority to set the quorum? If the bylaws have a set quorum and you didn't validly amend the bylaws to change it then whatever number was originally there is still in effect. Guest Edgar Posted March 7, 2012 at 11:37 PM Report Share Posted March 7, 2012 at 11:37 PM At a meeting (with quorum), we voted to establish the new quorum . . .Something as fundamental as the quorum requirement is typically found in the bylaws (so it can't simply be changed by adopting a motion at a meeting).
