Guest Chris Posted March 12, 2012 at 09:56 PM Report Share Posted March 12, 2012 at 09:56 PM In our old C&B a Director that ran for President and won "could not be a current Board of Director" so they had to give up that Director's position to be President and someone else was elected to fill the vacant Directors spot. The President then had tie breaking voting only. Under our new C&B that statement is gone and there is nothing in place to replace the vacant Directors seat. It would appear that the President is now holding two seat (Director and President). So the question is, can the President vote on matters before the Board as the Director and then vote again as the President to break any ties?
