Sec, and Cheer Coordinator. At the last meeting, only the Secretary and Cheer Coordinator were there. They carried on business with the Secretary running the meeting and we have a lot of contraversy. Now, if this was a meeting of the Board of Directors (and not a meeting of the Executive Board), how many members are there on the Board of Directors? Our By Laws do not state anything on this, but says we follow Roberts Rules of Order.If the Executive Board is a subset of the B.O.D., and if this was a B.O.D. meeting, and if your bylaws say nothing else about quorum -- then all you need for quorum is a majority of the B.O.D. members. The presence of a minimum number of Executive Board members is NOT required.To look at it via an example --Suppose you have a B.O.D. consisting of 13 members. Five of those members (the ones you listed) make up an 'Executive Board' (what RONR would call an executive committee) which sometimes meets as a separate body. One evening the board gathers for a B.O.D. meeting, and only 7 members attend. As chance would have it, the five Executive Board members are all absent.
