firegeorge Posted March 14, 2012 at 01:03 AM Report Share Posted March 14, 2012 at 01:03 AM Our organization states that the board of directors require 4 directors for a quorum. The conflict arrises because the board is limited to 3 director minimum without a maximum. Can this be considered an error and can we fall back on the default (simple majority) until corrction is made by the membership. Certainly there is obvious problems with small or large boards. Rev Ed Posted March 14, 2012 at 03:20 AM Report Share Posted March 14, 2012 at 03:20 AM If quorum is set at 4 members, then it is set at 4 members. The only way to change this is to amend the By-law.
