Scenario:

Nonprofit membership corporation board of directors adopt a motion by vote of 4 - 3 to publish a statement in the membership magazine.

"The Board found no violations."

The minority three board members insist that the statement read, instead: "The majority of the board found no violations."

Is this a proper statement?

Is this a proper statement?

The two statements are equivalent and equally proper under the common parliamentary law. If a motion is adopted by a majority vote at a properly called board meeting, it is the act of the board. See RONR, 11th ed., pg. 4, lines 3-9.
