approval of minutes of a retiring board who approves them?

Will our minutes from the last meeting of a retiring board need to be approved by that board or incoming board>

The "new" Board would. Unless the Board is totally new after elections are held, there will always be someone who would have been around the last time a meeting was held.

There is no "old" Board or "new" Board really - you have a Board.

There is no "old" Board or "new" Board really - you have a Board.

But even if the "new" Board is "totally new", it will still be the body that approves the minutes in such a case.(no committee having been appointed to do so).
