Guest Janet Posted June 5, 2012 at 11:36 PM Report Share Posted June 5, 2012 at 11:36 PM How would you override a previous months board meeting where an item was voted on and passed, and now the president of the company wants the board to rethink an issue and possibly change their vote to a different mechanical system than previously approved? Guest Edgar Posted June 5, 2012 at 11:52 PM Report Share Posted June 5, 2012 at 11:52 PM How would you override a previous months board meeting where an item was voted on and passed, and now the president of the company wants the board to rethink an issue and possibly change their vote to a different mechanical system than previously approved? The motion to Amend Something Previously Adopted (ASPA) might be what you're looking for. A two-thirds vote will do the trick.

Trina Posted June 6, 2012 at 11:38 AM Report Share Posted June 6, 2012 at 11:38 AM How would you override a previous months board meeting where an item was voted on and passed, and now the president of the company wants the board to rethink an issue and possibly change their vote to a different mechanical system than previously approved? The use of rescind/amend something previously adopted assumes that the previous motion has not been fully executed. In other words, as long as the previous approval of a particular mechanical system has not already led to a contract or to an actual purchase of some equipment, you (the assembly) are free to rescind or amend the previously adopted motion. George Mervosh Posted June 6, 2012 at 02:52 PM Report Share Posted June 6, 2012 at 02:52 PM A two-thirds vote will do the trick. So will a majority vote if previous notice of the motion is given. A vote of a majority of the entire board will do the trick as well, regardless of previous notice.
