Actually what are the rules when you have open board positions, as far as advertising to the public etc? However, your situation sounds like it varies from RONR so you will need to ask those who are familiar with the applicable rules regarding the Board. Is it the President or the chief? Check your bylaws to see what they say about filling vacancies. If your bylaws are silent, then the vacancy is filled by whoever appointed or elected the position in the first place. Previous notice is required of an election to fill a vacancy.
