Guest Lana Ricker Posted July 20, 2012 at 01:29 PM Report Share Posted July 20, 2012 at 01:29 PM Our directors want to be allowed to appoint the nominating committy and have no nominations from the floor. Is this legal?
Trina Posted July 20, 2012 at 01:35 PM Report Share Posted July 20, 2012 at 01:35 PM Nominations from the floor must be called for (i.e. they certainly are permitted) unless such nominations are specifically prohibited in the bylaws. See RONR (11th ed.) p. 435 ll. 10-12, which says, in part, 'the chair must call for further nominations from the floor.'Whether the directors can appoint a nominating committee depends on what your bylaws say (if anything) about a nominating committee, and how such a committee is to be established and populated.Independent of what goes on with the nominating committee, re-read my first sentence with regard to nominations from the floor.
