Our by-laws state that members of the executive committee are the officers. The by-laws also state that in order to conduct buisness we need an officer/ quroum.. Would anyone agree? Therefore, if the remaining board could arrange with one of the resigning board member to attend the next meeting. At which point we could then accept each letter of resignation individually and appoint members of the existing board to fill the vacancy one at a time. We can have and electon of those offices vacated and then accept the letter of resignation of the one resignng board member that attended our board meeting..Any feed back on this proposal?
