All officers resign except Treasurer

We had our Vice President resign so he could perform another elected position that an officer cannot do. The President was planning on re-appointing him at the next BOD meeting in December.

Our Secretary then gave her resignation at the Annual Meeting to be effective on the last day of 2012 as she lives with the President. (Against our ByLaws)

Here is a cut from our By Laws that pertain to this

Section 5. Resignations.

Any officer or director may resign at any time by giving a written

notice to the secretary of the Association. Such resignation shall take effect at the time

specified therein, and unless otherwise stated therein, the acceptance of such resignation

shall not be necessary to make it effective.

The President then decided to resign as well and gave writen notice to the governing body of our organization (the major powers to be) but did not give it to the Secretary of the organization (his live in girlfriend). He dated it for November.

The BOD does not meet until December.

Who runs our club??? Does this give the President enough time to clean things up??? What role does the Treasurer play?

OK, so the VP is already resigned, the President will be out sometime in November, and the Secretary will be out December 31, and the Board meets sometime in December. The only one who will still be in office at the Board meeting in December is the Secretary (unless it will be held on New Years Eve and there will be a rip roaring party after :D). So the first question is if the Board is the proper body to fill the vacancy (they probably are if the bylaws say they act on behalf of the organization between Membership meetings and the bylaws don't have a vacancy filling provision)? If the Board is the correct body to fill the vacancy the Secretary should include in the call of the December meeting that the vacancies for President, VP, and Secretary (starting January 1) will be filled. Then the Secretary would call the meeting to order and preside over an election for a Chair pro tem who would preside until the vacancies for President or VP is filled. The Treasurer has nothing to do with the scheme of things unless the bylaws say he does.

What is this "governing body"? Is it superior to your organization? And as Chris asked, how do your bylaws say vacancies should be filled? When are the terms of the resigning officers up?

Our Club is a National Club that is part of a for profit organization. Our club deals with the aspects of business related to one fraction of this organization.,

Our By-Laws state that the officers remain until their term is up or successor is elected. The President can appoint someone to fill a vacancy with the Boards approval and the position is then put up for re-election at the next general election.

As soon as possible, your president should call a special board meeting (if permitted by the bylaws) to appoint a new vice president and secretary. The new vice president will become president in November when the current president's resignation takes effect. Then the new president will appoint someone to fill the office of vice president. If a special board meeting can't happen for some reason, then the general members of your club should fill the vacancies at their next meeting. (Hopefully this can be a special meeting so you don't have to wait until next year!)

The remaining treasurer has no particular role to play.
