Election of new officers at annual meeting and Executive Session

If the outgoing President will no longer be on the board after the new inooming President is elected because his term has ended, does he have the right as a member to stay for the rest of the officer nomination and election process? May the new President ask for executive session for the nomination and election of officers and new term committee chairs to prevent any disruption and/or negative influence from the outgoing President?

If so, please cite where I may read this and the edition used to cite.

If a person is a member of the board by virtue of being an officer, when he ceases to be an officer, he is no longer a member of the board (p. 484, ll. 6-8). Only members of the board have a right to be present during a board meeting (p. 644, ll. 29-32). The chairman of a meeting can exclude a disorderly nonmember from the room (p. 644, ll. 32-33), or the members of the board can adopt a motion to go into executive session, thereby excluding all people who aren't members of the board (p. 644, l. 33 to p. 645, l. 3). A disorderly board member may only be ordered to leave after repeated or very serious breaches of order, and then only by a majority vote of the board members (p. 646, l. 16 to p. 648, l. 7).

Now some questions for you, so we can apply these principles to your situation:

  1. Do the members elect the officers? Or does the board elect them?
  2. Do the terms of the board members begin at the same time as the officers?

Does an agenda item need to be present to elect the new officers or can it be done under new business? Does an election become void if a descrepancy was found in the tally of the election of board members and one of the board members who voted on officers was removed and replaced with the correct person?

The miscount was for the election of board members.

The item i wish to protest is the election of officers where an illegal board member was allowed to vote and the real board member was not allowed to participate.

Who is doing the election of officers - the board members, or the general members?

And would this discrepancy have affected the final results of the vote?
