Guest Rita Posted October 23, 2012 at 12:22 AM Report Share Posted October 23, 2012 at 12:22 AM Our secretary says that she has no minutes to the meetings that she can give us or that have not already been given to us. However, we are missing a lot of them. We do not think that she has kept them. Who in the State of Indiana or the IRS would we complain to about this? We have a suspicion that she is doing things that are not correct and does not want us to know. BTW, the President goes along with her so we are not sure about her either.Thanks. JohnR Posted October 23, 2012 at 12:27 AM Report Share Posted October 23, 2012 at 12:27 AM Perhaps it's time to talk to a lawyer. Legal advice is not given in this forum.

rthib Posted October 23, 2012 at 01:41 PM Report Share Posted October 23, 2012 at 01:41 PM Something is missing here. Are you a member of the board or group who's minutes you are requesting? If so, why would seeing the minutes change what was done - you were there so you should know what was done and seeing the minutes would not change that?If you are not a member of that meeting, then RONR does not require the secretary to provide you minutes. sMargaret Posted October 23, 2012 at 02:13 PM Report Share Posted October 23, 2012 at 02:13 PM Who in the State of Indiana or the IRS would we complain to about this? You can complain to anyone in the State of Indiana about this. This is nothing prohibiting complaining to random people in RONR (unless it is about something that was in executive session). Our secretary says that she has no minutes to the meetings that she can give us or that have not already been given to us. However, we are missing a lot of them. Who is "we"? Are you a general member, a board member - which meetings (general meetings, board meetings) are you missing minutes for? Typically, the general membership doesn't see the board minutes, but you can put forward a motion that you be given those minutes, or that the minutes be publicly posted, or even that they be sent to the head of the IRS. You may also wish to check your bylaws, to see if they include an audit committee or something like that - as I suspect this may be something you'd be interested in.
