Our Board Chair forgot to sign up for re-election last November and there was no one opposing him. We appointed him back into his position in February of this year. We have just now discovered that in January we should have appointed the Vice-Chair to fulfill his Board Chair position and in February when we appointed him it would have been to to fill the Vice-Chair's empty position. Is this correct? If yes, is it too late to correct it? And how would we do that?

As far as RONR is concerned there is no requirement to sign up to run for an office (someone could be elected even if they had expressed no interest in the office and no one had nominated him). Also, as far as RONR is concerned you elect each officer directly (there is no requirement to elect the Vice Chair as the Chair). So it sounds like you are dealing with custom rules which are probably located in you bylaws. I would recommend you look to them for your answers.

The President resigned, now what?

The Vice-President automatically becomes the President for the remainder of the term of the President. For more information, refer to RONR 10th ed. pp. 442.

That is referring to what happens if the President resigns mid-term while it sounds like your situation is that the Chair failed to declare his intention to run for office but was re-elected anyway which are two totally different things. If the Chair had resigned, died, or was removed from office during his term of office then yes the Vice-Chair would have became Chair (unless the bylaws say otherwise) but your question seems to be whether the (re) election of the Chair was valid.

It's not clear to me that the chair was re-elected. I think this may be a case of an incomplete election.

To the original poster - what actually happened at the elections in November, with regards to the chair position?
