Guest P Brown Posted December 14, 2012 at 08:45 PM Report Share Posted December 14, 2012 at 08:45 PM When approving minutes of the last committee meeting (Committee, 3 is a quorum) 1 is the overall board chair and 2 committee members, can the two committee members approve the minutes of the last meeting even if they were not at that meeting. The board chair was at the previous meeting but does not normally approve the minutes.

Once all corrections have been made (and voted on if there's any disagreement) the chair can simply declare the minutes "approved". No motion is necessary and a vote is not appropriate (since non-approval is not an option).
