Our by laws state that the offices of president and vice president are for one year terms and those officers can hold the position for two years consecutively. The offices of Secretary and Treasurer do not have term limits and there are 3 Director positions - two have 2 year limits and the third has a 1 year limit. According to our by laws, a month before elections members can submit nominations for the offices after which the nominees are notified and must submit an acceptance so that the ballots can be prepared for our meeting for elections.Our by laws state that any vacancies occuring on the BOD shall be filled until the next annual election by a majority vote of all the then members of the BOD at its first regular meeting following the creation of such vacancy.Question is - is the treasurer who has submitted a resignation considered a hold-over treasurer and still a part of the BOD and allowed to participate in the appointment of the new treasurer? He remains the Treasurer until his resignation is accepted (which your board has the power to do if it has full power over the affairs of your organization between meetings), and after that, the office is simply vacant. The board can allow him (or anyone else) to be present during the selection of the replacement and to participate in discussion, but he cannot vote on the matter since he is no longer a member of the board, and he has no right to be present. Some (like me) think that a "vacancy" can nt be filled until and unless there is a vacancy. Others think that a pending (but not yet finalized) vacancy can be filled.
