ALTERNATE TO THE BOARD OF DIRECTORS

We had 8 people running for a board of 7.....member suggested 8th become an alternate TO the board...not on the board....and the President and Chairman of the Board state we cannot have an alternate to the board since it is not in the by laws. ByLaws clearly state Board must be 3-7 members. It does not mention alternate but could we now have an alternate without it being spelled out in the by laws. Membership voted and approved the guy as an alternate.................

What if there were 15 running for the Board? Would you want to have 8 alternates? If your bylaws allow for 7 Board members (and no alternates) then ol' Mr. Eight gets to try again next time.

In this instance the membership should have listened to the president and the chairman of the board. Ignoring the bylaws is a very bad habit to get into. Someone needs to break the bad news to the alternate that he's not an alternate after all.

What if the membership voted and approved the alternate...though it is not in the by laws........does that matter?

The election of the alternate is null and void. A member should raise a Point of Order to this effect, and it appears the chair will rule this point well taken.

Alternately, I suppose you could interpret it as the membership electing this person to a meaningless title. In any event, he is not entitled to any of the rights of board membership unless you amend your Bylaws.

What would or could the AttB (Alternate to the Board) actually DO???

Nothing, unless the Bylaws so provide.
