Can an officers policy override our bylaws which are in direct conflict

A officer has produced a set of operating procedures / policy for our members to follow at functions. One of the procedures in this policy is in direct opposition to a specific BY-LAW. The question is: can a officer set up a procedure / policy that is in direct conflict with a specific BY-LAW ? Which document, the BY-LAWS or the officers procedure / policy is the dominant document.

I suspect you already know the answer.

Unless your bylaws give this particular officer this very unusual authority, he's subject to your bylaws, just like any other member. But don't ask us; ask this officer where he gets the authority to do what he thinks he did.

Which document, the BY-LAWS or the officers procedure / policy is the dominant document.
