Do the Board and/or Members have to approve?

I am Co-Chair of a Committee for our Community's ladies Golf League. We wanted to add a Chinese Auction at one our Club's scheduled events(just for the golfers who are playing and belong to our League....not the whole community)

I ran an email by the Board, telling him we wanted to do this. They all commented that it was a good idea and then someone asked where the proceeds from ticket sales would go. We never even thought about it since we were thinking of it as fun for our members. The President then said that the Club didn't need the $ since we have plenty and suggested that the Chinese Auction ticket sale $ go to our "Putting Green Debt". (In the past we think that the Club voted on the Ladies golf league giving donated $$ toward our new putting green.)

So we wrote the members, telling them about the auction and asking them to save prizes and coffee cans, etc. One of the members wrote the Pres, saying that the members never discussed this auction/ticket sale donation to putting green. So the President now wants to hold a Board meeting and maybe even a member meeting about this. I don't know what is necessary.

Questions (Roberts Rules)?

If a Chair is doing an event, do they need to run details such as this by the Board at all? OR run details only by the Board? OR Need to run by the members also?

On another note about above:

Someone said the the League never voted on giving $ to the putting green in the first place and that a Past President made this offer without consulting the membership. The Secy is checking the Minutes about this, but if this is the case and she has no record of voting on this, is this something the Club can back out of now? Apparently some members don't want to give any more $ to this cause.

Mostly the answer will depend on your bylaws. Does the Board, or do individual committees, such as yours, have the authority to do what you have in mind? Especially getting and spending money? If not, then the club is the ultimate decision-maker.

Any "authority" to do things on your own would be found in either the bylaws or some motion formally adopted by the club. If none such turn up, assume you do not have that authority.

And yes, the club can "back out" of an unfulfilled committment (but watch out! if there are contracts involved, be careful) by rescinding the previously adopted motion (if there ever was one!) authorizing the putting green.

The President only has the authority that the bylaws give him or her and the Board only has the authority that the bylaws give them. If neither of them have the authority under the bylaws to hold an event that authority remains vested in the General Membership.

If the body who has the authority to disburse the money to the putting green didn't agree to it then the Club would be under no obligation (as far as RONR is concerned) to continue giving the money.
