Board setting Policy and Procedures

We had a Club member ask the following question regarding our Club Constitution:

"under which Article & Section it is stated that the responsibility of enacting Policies & Procedures is entrusted to the Board".

Our Constitution says, "

Section 1

Board of Directors. ................. General management of the club’s affairs shall be entrusted to the Board of Directors.

Therefore when the Board votes to approve a motion does that not then become either a policy or procedure of the Club?

We are not in a position to attempt to interpret bylaws here - RONR is quite enough, thank you - and your provision doesn't match either of the two "sample" provisions in RONR: p. 578 for a "strong" board, and p. 586 for a "just keep things going" board.

If you, collectively, figure out what your bylaw "really" means -- see p. 588 for help in that respect -- you might want to amend your bylaws to "fit" better.

If a board is authorized to act on behalf of the organization between meetings of the general membership, I think it's safe to say that any proper act of the board can be taken as an act of the organization. But see also Official Interpretations 2006-12 and 2006-13.
