Temporary ByLaws with an expiration date

Recommended Posts

Guest Leslie L

I need some advice on how to go about creating temporary bylaws that would sunset after one year. In an effort to increase productivity some members of the board with the orgs staff have recommended a proposed change in the structure of the meetings. Some on the board have been resistent to change, so to get buy-in it was proposed that the board try out this change for one year with the changes expiring. At which time the board would again revisit the structure and either vote the changes as permanent or propose alteranate options.

Can this be done? If so, how?

You are describing a variant of a proviso.

You simply adopt the bylaw change (that changes your meeting format, or whatever) by the usual method as described in your bylaws. But you also attach a proviso - p. 597 - stating that the amendment is in efect for only one year, and whatever conditions you want to put on its continuation. The byaw amendment, with the "attached" proviso, get adopted all in one bundle.

Depending on the nature of the changes in the structure of the meetings it may not be necessary to amend the bylaws to accomplish the changes. Can you clarify what sort of changes are being considered?
