What to do? Not enough members on the Board.

Our bylaws state no less than 10, no more than 16 members. Currently we have 8 members. What do we do at our next board meeting? Do we cancel it, similar to if there weren't a quorum?

Our city mayor makes the appointments to this board. She has not made these appointments a priority.

If we cancel it, we don't accomplish anything, but maybe it would send a message to the mayor. Then again, she might not care.

Suggestions?

Under RONR''s rules, a mere vacancy or two (or more) on a Board does not impare the Board's ability or authority to meet and do whatever it is authorized to do, as long as a quorum of Board members show up at the meeting.

So, unless your municipalty has rules that differ from RONR relative to this matter, carry on with your regular meeting schedule.

You shouldn't (and probably can't) cancel a meeting, quorum or no quorum. For one thing, you won't know for sure that a quorum hasn't shown up until the meeting is actually held. For another, if the meeting is scheduled, it should be held. Granted, there's little that can be done without a quorum present but one thing that can be done is holding a meeting.

Do your bylaws state that you cannot operate with less than 10 members, or that less than 10 members cannot be appointed to your board? How is your quorum defined?
